Agreement
These Terms of Service govern your access to and use of Piquup. Piquup is a service provided by Nonicate Inc., a Delaware corporation. By using Piquup you agree to these Terms.
Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law. If you use Piquup on behalf of a business, you represent that you have authority to bind that business.
Account & Access
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately at hello@piquup.com if you suspect any unauthorized access.
Acceptable Use
You agree not to use Piquup to send unsolicited messages, harass others, distribute malware or harmful code, impersonate others, violate any applicable law, or otherwise act in a manner that infringes the rights of others. You will comply with all applicable telecommunications and consent laws including TCPA, CAN-SPAM, and state-specific laws.
SMS Program
If you enable SMS, you are responsible for ensuring recipients have consented and that your messages comply with all applicable laws. Piquup honors opt-out requests (STOP) and HELP responses automatically. Carrier message and data rates may apply.
Subscriptions & Fees
Piquup is offered on a subscription basis billed monthly or annually. Fees are non-refundable except where required by law. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing cycle.
Customer Data
You retain ownership of data you submit to Piquup ("Customer Data"). You grant Piquup the rights necessary to provide, secure, and improve the service. We do not use Customer Data to train shared, third-party, or publicly available models.
Intellectual Property
Piquup, including all related software, documentation, design, and content provided by us, is and remains our intellectual property. Nothing in these Terms transfers any IP ownership to you except the limited license to use Piquup as described.
Disclaimers
Piquup is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Piquup will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or your use of Piquup shall not exceed the amount you paid us in the twelve months prior to the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.
Termination
We may suspend or terminate your access for material breach of these Terms, non-payment, or any conduct that we determine harms Piquup or other users. Upon termination your right to use Piquup ceases; provisions that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution) will survive.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
Changes
We may update these Terms from time to time. We will update the date above and, when changes are material, provide additional notice. Continued use after changes take effect constitutes acceptance.
